RetreatMi – GENERAL TERMS AND CONDITIONS


PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS PLATFORM


These terms tell you the rules for using our website: www.retreatmi.com (the “platform”). This document is interchangeably referred to as terms and conditions or terms of use.

 

1. WHO WE ARE AND HOW TO CONTACT US 

The platform is owned and operated by RetreatMi Ltd, a company incorporated under the laws of the United Kingdom, with its registered office located at Office 1 Brunswick House, Brunswick Way, Liverpool, England, L3 4BN and with company registration number 13444391 (‘we’, ‘our’, ‘us’ ‘Retreatmi’). To contact us, please email admin@retreatmi.com.


2. ABOUT US

RetreatMi is a peer-to-peer wellness platform that has evolved into a full-fledged travel agency, specializing in curating and facilitating unique travel experiences and wellness retreats. Our platform connects travelers ("Guests") with a diverse array of travel services provided by our partners ("Service Providers") around the world.


Our platform offers an extensive range of travel services, including but not limited to:


- Wellness retreats (accommodations such as hotels, yoga retreats, detox houses, and villas)

- Adventure experiences (hiking, cycling, camping, skiing, foraging, rock climbing, expeditions)

- Relaxation options (spa, meditation, detox, Ayurveda, juice, raw, weight loss)

- Travel themes (digital detox, conscious travel, air quality, sustainability, local impact)

- Healing experiences (alternative medicine, emotional healing, sound healing, silent retreats, ice baths)

- Fitness and Movement (boot camp, CrossFit, Muay Thai, boxing, beach workouts)

- Yoga experiences (Vinyasa, Hatha, Yin, Kundalini, Hot Yoga)

- Budget-friendly travel options


Collectively, such experiences referred to as the “Services”.


Both Service Providers, Guests and other individuals using our platform are interchangeably referred to as ‘users’. 


3. BY USING OUR PLATFORM YOU ACCEPT THESE TERMS 

By using our platform, you confirm that you accept these terms of use and that you agree to comply with them.

 

If you do not agree to these terms, you must not use our platform or the services offered through our platform.

 

For the avoidance of doubt, our platform is only available to be used by individuals who are aged 18 years old and above. Any other individuals may not open an account, access the platform, or use the services on their own. Individuals under the age of 18 years old may use access the rehearsal spaces so long as their booking is made by someone over the age of 18 who also must accompany them to the relevant premises.


4. THERE ARE OTHER TERMS THAT MAY APPLY TO YOU 

These terms of use refer to the following additional terms, which also apply to your use of our platform:

 

• Our Cookie Policy, which sets out information about the cookies on our platform.

• Our Privacy and Data Protection policy, which sets out information about how we use your data and our compliance with GDPR regulation. 

• Our Acceptable Use policy, which sets out the acceptable usage of our platform.

 

5. WE MAY MAKE CHANGES TO THESE TERMS 

We reserve the right to amend these terms from time to time. Every time you wish to use our platform, please check these terms to ensure you understand the terms that apply at that time. 

 

6. WE MAY MAKE CHANGES TO OUR PLATFORM 

We may update and change our platform from time to time to reflect changes to our products, our users’ needs and our business priorities. 

 

We do not guarantee that our platform, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our platform for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

 

You are also responsible for ensuring that all persons who access our platform through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

 

7. YOU MUST KEEP YOUR ACCOUNT DETAILS SAFE 

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

 

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

 

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us.

 

8. HOW YOU MAY USE MATERIAL ON OUR PLATFORM 

Unless otherwise specified, we are the owner or the licensee of all intellectual property rights in our platform, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

 

You may print off one copy, and may download extracts, of any page(s) from our platform for your personal use and you may draw the attention of others to content posted on our platform.

 

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

 

Our status (and that of any identified contributors) as the authors of content on our platform must always be acknowledged.

 

You must not use any part of the content on our platform for commercial purposes without obtaining a licence to do so from us.

 

If you print off, copy or download any part of our platform in breach of these terms of use, your right to use our platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

 

9. DO NOT RELY ON INFORMATION ON THIS PLATFORM 

Although we make reasonable efforts to update the information on our platform, we make no representations, warranties or guarantees, whether express or implied, that the content on our platform is accurate, complete or up to date.

 

10. WE ARE NOT RESPONSIBLE FOR WEBSITES WE LINK TO 

Where our platform contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

 

We have no control over the contents of those sites or resources.

 

11. USER-GENERATED CONTENT IS NOT APPROVED BY US 

This platform may include information and materials uploaded by other users of the platform. Although monitored, such content is not always approved by us.

 

12. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU 

• We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

• We exclude all implied conditions, warranties, representations or other terms that may apply to our platform or any content on it.

• We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

• use of, or inability to use, our platform; or

• use of or reliance on any content displayed on our platform;

• any bookings made through our platform whether through Package Retreats or Customised Retreats.

• In particular, we will not be liable for:

• loss of profits, sales, business, or revenue;

• business interruption;

• loss of anticipated savings;

• loss of business opportunity, goodwill or reputation; or

• any indirect or consequential loss or damage.


13. HOW WE MAY USE YOUR PERSONAL INFORMATION 

We will only use your personal information as set out in our Retreatmi Privacy and Data Protection Policy.


14. WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM 

We do not guarantee that our platform will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access our platform. You should use your own virus protection software.

You must not misuse our platform by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our platform, the server on which our platform is stored or any server, computer or database connected to our platform. You must not attack our platform via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you may be committing a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our platform will cease immediately.


15. RULES ABOUT LINKING TO OUR PLATFORM 

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

 You must not establish a link to our platform in any website that is not owned by you.

 Our platform must not be framed on any other site, nor may you create a link to any part of our platform other than the home page.

We reserve the right to withdraw linking permission without notice.


16. NO AGENCY

No partnership, joint venture, or employment relationship is created as a result of these Terms between Retreatmi, Service Providers, and Guests. Retreatmi serves as a booking agent, facilitating the connection between Service Providers and Guests. While Retreatmi acts as an intermediary for booking services, it does not establish an agency relationship with either Service Providers or Guests.


Neither Service Providers nor Guests have any authority to bind Retreatmi in any respect beyond the scope of facilitating bookings. Retreatmi is not an agent, partner, joint venturer, or employer of any party using the platform. Any agreements, transactions, or interactions are solely between the Service Providers and Guests, with Retreatmi acting as a booking agent to streamline the booking process.


17. FORCE MAJEURE

Neither Retreatmi or users shall be liable to the other for any delay or failure in performance under these terms and conditions, other than payment obligations, arising out of a cause beyond its control and without its fault or negligence. Such causes may include, but are not limited to fires, floods, earthquakes, strikes, unavailability of necessary utilities, blackouts, acts of God, terrorism, acts of declared or undeclared war, acts of regulatory agencies, or national disasters.


18. THIRD PARTIES

You agree that, except as otherwise expressly provided in the Terms of Use, there shall be no third-party beneficiaries to the Terms of Use.


19. GOVERNING LAW AND DISPUTES

These terms of use, their subject matter and their formation, are governed by the laws of England. You and we both agree that the courts of England and Wales will have exclusive jurisdiction to resolve disputes.


20. FEES

Our current fees are as follows:


i. Booking service fee: For Independent Service Providers, each booking is subject to a service charge calculated on the total booking price. This service charge is deducted from the booking amount that the Service Provider receives in their account.


ii. Overtime fees: Not applicable for travel services.


iii. Travel-related fees: Some travel services may have additional fees based on the location, type, and duration of the travel experience. These fees will be clearly communicated during the booking process.


Please note that, as of [effective date], guests no longer incur a separate booking fee. We have removed the booking charge for guests to enhance the booking experience and ensure a more transparent and user-friendly process.



21. AGREEMENT BETWEEN SERVICE PROVIDER AND GUEST

Guests acknowledge that bookings for travel services are subject to the specific terms and conditions set by the Service Providers. Retreatmi shall not be a party to any travel agreement between a Service Provider and Guest. Guests are advised to carefully review and understand the Service Provider's terms and conditions related to travel services.



22. SERVICE PROVIDER RESPONSIBILITIES

a. INSURANCE 

b. TRAVEL ARRANGEMENTS


Service Providers offering travel-related services must ensure all travel arrangements, including accommodations, transportation, and activities, are accurately represented on our platform. Service Providers agree to provide the booked travel services with due care, diligence, and adherence to the agreed itinerary.


c. TRAVEL INSURANCE


Service Providers offering accommodations or other travel services are strongly encouraged to have appropriate insurance coverage. Retreatmi is not responsible for any loss or damage incurred during travel services and recommends Service Providers have their insurance arrangements in place.


 

b. SPACE, PREMISES AND EQUIPMENT

Service Providers must ensure all equipment advertised, where applicable, is are in a full working condition prior to the arrival of Guests. Service Providers agree to provide their premises or space in a clean and hygienic condition. Service Providers agree to allow free and uninterrupted use to Guests for the duration of their booking.


c. LISTING GUIDELINES

Service Providers must apply for a listing on our platform to advertise their services. Service Providers are responsible for selecting their prices and rates at a reasonable rate which adequately reflects the location, premises and services provided in their space.. Service Providers agree they will take responsibility for the accuracy and detail of all listing information which includes accuracy of location, descriptions, images, measurements, condition and any other supplementary information about your premises, studio or services and the instruments, equipment and furniture related to it or the services you provide. Service Providers agree they will not: 

i. list Services or offers relating to any Service in a category that is inappropriate to the Service they are offering;

ii. misrepresent the location at which they will provide a Service; 

iii. include brand names or other inappropriate keywords in their Profile, 

iv. use misleading titles that do not accurately describe the Service; or

v. include any information in their Profile that is fraudulent.

vi. attach links to their own or a third-party website from which users may obtain their Services directly or otherwise offer the opportunity through our platform or direct a user to purchase their services outside our platform.

We have the right to remove any posting or listing you make on our platform and take any other proactive action reasonably necessary if, in our opinion, your post does not comply with our content standards or is later found to be inaccurate, false or mis-descriptive of the space or services actually provided.

d. CERTIFICATIONS

Where a Service Provider independent contractor, teacher or specialist who requires professional qualifications (such as a qualified Pilates teacher), you will submit copies of ID proof and verified original certificates of such certifications by email or upload to Retreatmi before listing on the platform. Retreatmi will retain such copies for as long as is reasonably necessary and takes no responsibility for verifying such documents or their relevance to the relevant jurisdiction that the Service Provider has trained in or is operating in.

e. CONDUCT OF SERVICES

Service Providers agree to attend all bookings made through the platform and carry out the booked Service with due care, diligence and skill. Retreatmi is not responsible for acts or activity conducted during a booking made through our website, or cancelled or unpaid bookings where the Service Provider is late or delayed. Where a service is booked and a Service Provider is asked to attend a private premises (e.g. someone’s home or a rented villa), the Service Provider enters such premises at their own risk and the Guest accepts the Service Provider into their Premises at their own risk. Please note, all Guests and Service Providers are required to upload their identify prior to booking. If a verified Guest or Service Provider attends a booking that has been booked using someone else’s identify document, either user is entitled to decline continuation of the booking. In this situation, no refunds will be given.


23. SERVICE PROVIDER WARRANTIES AND REPRESENTATIONS

Service Providers represent, and/or warrant that: 

a. you own or have the necessary licenses, rights, consents, and permissions to use and authorize Retreatmi to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all content submitted for listings, including logos and other intellectual property provided on the platform for the purposes of marketing their services; 

b. where you provide photographs or videos for listings to describe your service, you have the consent, release, and/or permission of each and every identifiable individual person in such photographs or videos. You agree to pay for all royalties, fees, and any other monies owed to any person by reason of lawsuit, copyright or otherwise relating to a listing posted through our platform that has been submitted by you where such identifiable individual did not provide proper consent;

c. you remain fully responsible for ensuring they comply with local law and regulation in their jurisdiction of operation. Service Providers must ensure they have all necessary licenses and approvals in place for their Services. Retreatmi is not responsible for ensuring that Service Providers are operating in compliance with the laws applicable to them;

d. you will exercise reasonable care and skill in performing any obligations in the provision of the Services.


24. GUESTS

a. GUEST RESPONSIBILITIES

Guests can make bookings for Services through our platform. Once a booking is made, it will be considered a confirmed booking when the Service Provider confirms the booking. Guests agree to:

i. where the accommodation involves a booking or premises, vacate the premises at the time specific on your booking and leave the premises in a clean condition. Guests agree that they will not damage, destroy or cause any loss to the Service Provider’s premises or any of the furniture or equipment within said premises;

ii. adhere to the reasonable instructions of the Service Provider for the duration of your booking;

iii. not act in a way that may cause distress, annoyance or may create the risk of danger to other individuals and/or damage to property during your use of the any Service booked through our platform;

iv. pay us for any losses, liabilities, damages or costs incurred by us that result or arise out of any claims or legal proceedings which are brought or threatened against us by any person arising from or in connection with your behaviour or acts (or the behaviour or acts of any individual for whom you make a reservation) under these terms and conditions.

b. BOOKING AND ID DOCUMENTS

Guests must inform the Service Provider how many individuals will be attending the premises during the booking if this is not specified at the time of booking (Guests accept that Service Providers have the right to refuse the booking if they do not agree to additional individuals). Guests will not make bookings using IDs that do not relate to the real identity of those attending he premises. Service Providers may have their own individual restrictions for their premises. Guests agree to comply with such restrictions.

c. VISAS AND TRAVEL REQUIREMENTS

Guests are personally responsible for ensuring they are aware of all rules regarding the entrance to the country to which they are travelling, including relevant visas needed (as well as those on whose behalf you Reserved), and any passport restrictions and requirements (such as blank passport pages or passport validity); you do not have a criminal record that would prevent you from travelling to that territory or country; and you meet the appropriate visa, vaccination, administrative and sanitation requirements. Retreatmi shall not be responsible if you are denied entrance to the territory or country where you have booked a Customised Retreat or a Package Retreat and no refunds will be given in such situations.


25. REVIEWS

Guests will be sent a link following a booking where they may review a Service provider by giving them a star rating out of 5 alongside a written review . Retreatmi retains the right to remove any review which does not follow our guidelines. 

When posting a review, reviewers agree that they will oblige with the following posting guidelines:

i. They ensure any details provided in the review are chosen carefully, at all times being aware that the information on the review will be available for public viewing.

ii. The material they are posting is their own original material and they are authorized to provide it to our platform and it does not infringe the copyright, trade mark or privacy or other rights of a third party;

• They have had real, direct, first hand experience of the Service Provider and their experience is not based on the experience of a friend or relative or heresay and is not fabricated;

• Reviewers must not write reviews for Service Providers who are family members, who they are employed or work for, that is a competitor to their own or a family member’s business, in exchange for any gift or payment, or where the interaction with the Service Provider occurred more than 6 months prior to the review being posted.

• They will not mention private or personal details of the Service Provider being reviewed such as their personal phone numbers, addresses, etc., except to the extent that such numbers or addresses relate to their business operation and already publicly available. 

• Negative feedback is acceptable and we aim to uphold the principal of free speech, but reviewers are encouraged to provide constructive criticism. Reviewers at all times must not use profanities, threats, hate speech, racially or sexually explicit language, defamatory remarks or other prejudiced speech. 

• Users agree to grant us permission, irrevocably and free of charge, to use the material posted in any way we want on any website or otherwise (including altering and adapting it for operational or editorial reasons) in any media worldwide, which may include syndicating the material to selected third party social media and networking sites.


OUR DUTY TO PUBLISH REVIEWS

Retreatmi does not have a duty to publish any material you have provided. We have the right to:

• reject or refuse to post any material you have provided;

• remove any material from any our platform regardless of whether or not the material goes against any of these conditions; or

• restrict, suspend or stop your access to all or any part of any our platform, at any time.


REPORTING A REVIEW AND REVIEW TAKE DOWN

We do not edit, pre-approve or review all reviews displayed on our website, although we may do this with some reviews. Service Providers have the option to notify us that they want to request a ‘take down’ regarding such material. If users believe that any review does not comply with the posting guidelines, notify us immediately by emailing us for a review. We will then review the material and, if we deem it appropriate, remove the material within a reasonable time. Retreatmi will assess the review concerned and remove or amend it if we find that it does not comply with our policies. If, after investigation, we find that the review is genuine and complies with our policies and guidelines, we reserve the right to retain the posting on our platform.


26. BOOKING CANCELLATIONS

Use of the platform is subject to our cancellation policy. We reserve the right to obtain and collect cancellation charges specified below in accordance with this cancellation policy. 


a. Cancellation fees:

I. Cancellation policies are according to the Service Provider’s rules. Service Providers have the ability to decide their own cancellation policies and associated fees according to the different levels below: 

a. Flexible

b. Semi-Flexible

c. Fixed

d. Custom 

II. Guests and Service Providers may cancel a confirmed booking in accordance with the type of cancellation policy adopted from the list above. Refunds will be issued in accordance with the Service Provider’s individual cancellation policy.

III. Notwithstanding the Service Provider’s individual cancellation policy for refunds, where a cancellation is made more than 48 hours after booking, Retreatmi’s booking fee will not be refunded to the Guest. However, in such cases, Retreatmi will allow amendments and rescheduling of the booking (with the consent of the Service Provider and subject to availability) without forfeiture of the booking fee.

IV. If the booking is not confirmed and is still showing as pending (i.e., where a booking has been made but the Service Provider has not yet accepted it), it may be cancelled without any fees being incurred and a full refund will be issued.

b. Waiving fees, platform initiated cancellations and rescheduled bookings:

Cancellation fees may be waived if agreed by the Service Provider, Guest and the platform. Guests and Service Providers are encouraged to communicate openly in order to avoid cancellations and reschedule bookings if needed to avoid incurring fees.

In the rare situation that Retreatmi needs to initiate a booking cancellation, we reserve the right cancel a booking and will issue a refund to both parties in accordance with the terms above. Booking cancellations may occur in extenuating circumstances and we will always aim not to cancel bookings confirmed between Service Providers and Guests.

Bookings may be rescheduled if mutually communicated and agreed between the Service Provider and Guest. The rescheduled booking should be for the same duration as the original booking and communicated and rescheduled in accordance with the time frames provided above.

c. Cancellation for Extenuating Circumstances

Notwithstanding the above, users understand that, in rare circumstances, a retreat created through the Retreat Builder function (the ‘Customised Retreat’) may need to be cancelled in its entirely if the accommodation component, being the central component of the Customised Retreat is unexpectedly cancelled, or the accommodation Service Provider is no longer able to provide the accommodation or the Guest is not able to attend the Customised retreat due to extreme extenuating circumstances or a Force Majeure as specified in clause 17 ( ‘Extenuating Circumstance/s’). In such Extenuating Circumstances, the Guest has the right to, no later than 24 hours after being informed of the accommodation cancellation:

i. Cancel, without any cancellation fees being charged, the entire Customised Retreat and all associated ancillary services booked through our platform that relate to the time frame of that retreat, if Retreatmi is not able to provide a suitable alternative accommodation in the same location and within the same price range within 24 hours;

ii. Obtain a refund from all Service Providers through which services have been booked for that particular Customised Retreat (including the accommodation provider and other Service Providers for ancillary Services such as Yoga, beach activities, transport providers, etc.).


Service Providers who have been booked to provide ancillary services in the Customised Retreat which is later cancelled accept that in such Extenuating Circumstances, a full refund will be issued to Guests and their bookings related that Customer Retreat will immediately be cancelled. In such circumstances, no compensation will be given to the Service Provider or Guest.
